Terms of Service

1. Agreement to Terms

By joining the UGC waitlist at https://ugc.africa, you agree to these Terms of Service ("Terms") and our Privacy Policy. These Terms form a binding agreement between you and UGC Ltd (RC RC: 9299334) and its global affiliate Flywox Inc.

If you do not agree to these Terms, please do not submit your information.

2. Who Can Join

• You must be at least 18 years of age to join the waitlist. By submitting the form, you confirm you meet this requirement.
• The waitlist is open to people everywhere in the world.
• Creator accounts at platform launch will initially be limited to: Nigeria, Kenya, Ghana, South Africa. We will expand to more countries over time. Advertiser accounts are open globally with no country restriction.

3. What the Waitlist Is

The UGC waitlist lets you:

• Reserve a position in the queue for early access to the platform.
• Move up in the queue by referring others with your unique referral link.
• Receive email updates on launch progress and early access invitations.

Joining the waitlist does not guarantee platform access. We grant access at our discretion, in batches, based on queue position and regional availability. We will always be transparent about timelines.

4. The Referral Programme

• Every registered user gets a unique referral link.
• Each person who joins using your link moves your position up by 5 places.
• Referral credits are awarded in good faith. We reserve the right to remove credits if we detect fraudulent activity, self-referral, or fake signups generated by bots or scripts.
• Queue positions are indicative and may shift as total waitlist activity changes.

5. Acceptable Use

You agree not to:

• Submit false or misleading information.
• Register multiple waitlist accounts with different email addresses.
• Use bots or automated tools to generate fake referrals.
• Spam others with your referral link or engage in unsolicited messaging.
• Attempt to interfere with or circumvent any security feature of the waitlist.
• Use this service for any purpose that is unlawful or violates these Terms.

Violations may result in removal from the waitlist and cancellation of all referral credits without notice.

6. Creator Terms (Applies When You Access the Platform)

The following additional terms will apply once you receive access as a creator:

• You are an independent contractor, not an employee of UGC Ltd.
• You are responsible for complying with the terms of service of any social media platform you post on (TikTok, Instagram, YouTube, and others).
• You must post content accurately as briefed by the campaign. Misrepresenting content or fabricating view counts will result in permanent suspension and forfeiture of any pending earnings.
• You retain ownership of your social media accounts. UGC makes no claim on your accounts, followers, or content outside of campaign slots you accept.
• Where UGC provides pre-produced brand content for you to post, you confirm you have the right to publish it and understand that such content is licensed to you for distribution purposes only.
• Earnings are calculated on verified views tracked by our system, subject to the payout terms in your creator agreement.

7. Advertiser Terms (Applies When You Access the Platform)

The following additional terms will apply once you access the platform as an advertiser:

• You warrant that all content you upload is lawful, does not infringe third-party intellectual property rights, and does not include prohibited material (including but not limited to: hate speech, adult content, counterfeit products, and misleading claims).
• You are responsible for ensuring your campaign complies with the advertising standards and applicable laws in your target countries.
• Campaign budgets are prepaid. Refunds for unspent budget on cancelled campaigns follow the refund policy in your advertiser agreement.
• View count disputes must be raised within 14 days of the campaign report being made available.

8. Intellectual Property

The UGC name, logo, and platform are the intellectual property of UGC Ltd and Flywox Inc. Nothing in these Terms gives you any licence to use our trademarks, branding, or technology outside of what is explicitly granted.

9. No Warranties

THE WAITLIST SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR QUEUE POSITION WILL RESULT IN PLATFORM ACCESS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER UGC LTD NOR FLYWOX INC SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE WAITLIST SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED $10 USD (OR THE EQUIVALENT IN YOUR LOCAL CURRENCY).

11. Indemnification

You agree to indemnify and hold harmless UGC Ltd, Flywox Inc, and their respective officers, employees, and agents from any claim, damage, or expense (including reasonable legal fees) arising from your breach of these Terms or misuse of our service.

12. Governing Law

These Terms are governed by applicable law. For users accessing this service from within Africa, disputes shall be subject to the jurisdiction of the courts where the relevant UGC Ltd entity is registered. For international users accessing via Flywox Inc, disputes may be resolved by binding arbitration under internationally recognised rules. 13. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated by email. Continued use of the waitlist after notification means you accept the updated Terms.
